By engaging Tailored Bay Digital for any service or by using our website, you agree to be bound by these Terms & Conditions. Please read them carefully before proceeding.

1. About Tailored Bay Digital

Tailored Bay Digital ("we", "us", "our", "the Company") is a digital design and development studio based in Johannesburg, South Africa, providing web design, development, SEO, digital marketing, and related services globally.

2. Acceptance of Terms

These Terms & Conditions govern your use of our website and all services you engage us to deliver. By submitting an enquiry, signing a project agreement, or making a payment, you confirm that you have read, understood, and accepted these terms in full.

We reserve the right to update these terms at any time. Continued use of our services after any update constitutes acceptance of the revised terms.

3. Services

Tailored Bay Digital offers the following services, subject to individual project agreements:

The specific scope, deliverables, timeline, and pricing for each project are outlined in a written proposal or project agreement provided before work commences.

4. Pricing and Currency

Tailored Bay Digital operates primarily from South Africa and serves clients both locally and internationally. Pricing is determined as follows:

Client Location Billing Currency Notes
South Africa ZAR (R) — South African Rand All local projects quoted and invoiced exclusively in ZAR.
Outside South Africa USD ($) — United States Dollar International projects quoted and invoiced in USD. Exchange rate applied at time of quotation.

All quotes specify the applicable currency clearly. Where a project involves work across both South African and international components, the primary billing currency will be determined by the client's principal place of business.

Tailored Bay Digital is not currently VAT-registered in South Africa. If this changes, affected clients will be notified in advance.

International clients are responsible for any applicable import taxes, withholding taxes, or banking transfer fees in their jurisdiction.

5. Quotes and Validity

All quotes are valid for 30 days from the date of issue unless otherwise stated. Quotes are based on the requirements communicated at the time. Changes to scope, features, or requirements after acceptance may result in a revised quote.

6. Payment Terms

Failure to pay within the agreed timeframe may result in work being paused. We reserve the right to charge interest on overdue invoices at the prevailing South African prime lending rate (for ZAR invoices) or at 8% per annum above the US Federal Reserve base rate (for USD invoices).

7. International Payments

International clients invoiced in USD may pay via bank transfer (SWIFT/wire transfer) or other agreed payment methods. All bank charges, currency conversion fees, and intermediary bank fees are the responsibility of the client. Payment is considered received only when the full invoiced amount is credited to Tailored Bay Digital's account.

8. Project Timelines

Estimated timelines are provided in good faith and subject to timely client feedback, content provision, and approvals. We are not liable for delays caused by late provision of content, delayed approvals, or third-party platform outages.

9. Revisions and Changes

Each project package includes a specified number of revision rounds as outlined in your proposal. Additional revisions beyond the agreed scope are quoted at our standard hourly rate. Significant scope changes after commencement are treated as new work and quoted separately.

11. Intellectual Property

Upon receipt of full and final payment, Tailored Bay Digital transfers ownership of all custom design and code created specifically for your project to the client.

We retain the right to display completed work in our portfolio and marketing materials unless the client requests written confidentiality. Pre-existing tools, templates, libraries, and frameworks remain the property of Tailored Bay Digital.

12. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives project completion.

13. Warranties and Liability

We warrant that work will be performed with reasonable skill and care. However, we do not guarantee specific search engine rankings, uninterrupted third-party hosting uptime, or ongoing compatibility with all future software updates after handover.

To the maximum extent permitted by applicable law, our total liability for any claim arising from our services is limited to the total fees paid by the client for the relevant project.

15. Governing Law and Dispute Resolution

For South African clients, these terms are governed by the laws of the Republic of South Africa. Any disputes are subject to the jurisdiction of South African courts.

For international clients, both parties agree to attempt resolution through good-faith negotiation before pursuing formal legal proceedings. If resolution cannot be reached, disputes shall be resolved under the rules of international commercial arbitration, with South African law as the governing law and proceedings conducted in English.
